on the Site for non-commercial, personal use only provided
you also retain all copyright and other proprietary notices
contained on the materials. You may not, however, distribute,
modify, transmit, reuse, re post, or use the content of the
Site for public or commercial purposes, including the text,
images, audio, and video without LongRates.com, Inc.'s prior
written permission. Your access to and use of the Site is also
subject to the following terms and conditions ("Terms
and Conditions") and all applicable laws.

LongRates.com, Inc. neither warrants nor represents that your

of third parties not owned by or affiliated with LongRates.com,
Inc..
While LongRates.com, Inc. uses reasonable efforts to include
accurate and up to date information in the Site, LongRates.com,
Inc. makes no warranties or representations as to its accuracy.
LongRates.com, Inc. assumes no liability or responsibility
for any errors or omissions in the content of the Site or the
email alerts you may receive as part of the LongRates.com rate
monitoring service.
2. Registration; Member Account Creation and Security.
In consideration of your use of the LongRates.com Site and
the LongRates.com Service, you agree to: (1) provide true,
accurate, current and complete information about yourself
as prompted by the LongRates.com Service's registration form
(such information being the "Registration Data")
and (2) maintain and promptly update the Registration Data
to keep it true, accurate, current and complete. If you provide
any information that is untrue, inaccurate, not current or
incomplete, or LongRates.com, Inc. has reasonable grounds
to suspect that such information is untrue, inaccurate, not
current or incomplete, LongRates.com has the right to suspend
or terminate your account and refuse any and all current
or future use of the LongRates.com Site and/or the LongRates.com
Service (or any portion thereof).
As part of the registration and account creation process necessary
to obtain access to portions of the LongRates.com Site and,
you will select a subscriber identification ID and a password.
You will provide LongRates.com with certain registration information,
all of which must be accurate and updated. You shall not
i. select a subscriber ID already used by another person;
ii. use a subscriber ID in which another person has rights
without such person's authorization; or
iii. use a subscriber ID or password that LongRates.com, in
its sole discretion, deems offensive or inappropriate.
You shall be solely responsible for maintaining the confidentiality
of your password and account, and are fully responsible for
all activities that occur under your password and account.
You agree to and shall (i) immediately notify LongRates.com
of any known or suspected unauthorized use(s) of your password
or account, or any known or suspected breach of security, including
loss, theft, or unauthorized disclosure of your password or
credit card information, and (2) ensure that you exit from
your account at the end of each session. You are solely responsible
for all usage or activity on your LongRates.com account, including
but not limited to use of the account by any third party authorized
by you to use your subscriber ID and password. Any fraudulent,
abusive, or otherwise illegal activity may be grounds for termination
of your account, in LongRates.com Inc’s sole discretion,
and LongRates.com Inc.may refer you to appropriate law enforcement
agencies. You may terminate your account at any time by sending
an e-mail to membership@LongRates.com. You are responsible
for all charges, if any, incurred up to the time the account
is terminated. LongRates.com cannot and will not be liable
for any loss or damage arising from your failure to comply
with this paragraph. Access and use of password protected and/or
secure areas of the LongRates.com Site is restricted to authorized
users only. Unauthorized individuals attempting to access these
areas of the LongRates.com Site may be subject to prosecution.
3. Privacy Policy.

4. License; Permitted Use.
You agree that you are only authorized, in accordance with,
and pursuant to these Terms and Conditions, to visit, view
and to retain a copy of pages of the LongRates.com Site for
your own personal, noncommercial use, and that you shall
not sell, duplicate, download, publish, modify, display,
publicly perform, distribute or otherwise use the LongRates.com
Site for any purpose other than personal use, unless otherwise
specifically authorized by LongRates.com to do so. As an
express condition of your use of the LongRates.com Site you
warrant to LongRates.com that you will not use the LongRates.com
Site or the information contained therein for any unlawful

to do so. You acquire absolutely no rights or licenses in

Line and materials contained therein other than the limited
right to utilize the LongRates.com Site and/or the LongRates.com
Product Line in accordance with these Terms and Conditions.
Should you choose to download content from the LongRates.com
Site, you must do so in accordance with these Terms and Conditions.
Such download is licensed to you by LongRates.com ONLY for
your own personal, noncommercial use in accordance with these
Terms and Conditions and does not transfer any other rights
to you. If you violated any part of these Terms and Conditions,
your permission to use the LongRates.com Site automatically
terminates and you must immediately destroy any copies you
have made of any material obtained through the LongRates.com

5. Rules Of User Conduct; User's Grant Of Limited License.

will LongRates.com be liable in any way for any Content,
including, but not limited to, for any errors or omissions

orientation, race, ethnicity, age, or disability;
infringes on any patent, trademark, trade secret, copyright,
right of publicity, or other proprietary right of any party;
constitutes unauthorized or unsolicited advertising, junk
or bulk e-mail (also known as "spamming"), chain
letters, any other form of unauthorized solicitation, or any
form of lottery or gambling;
contains software viruses or any other computer code, files,
or programs that are designed or intended to disrupt, damage,
or limit the functioning of any software, hardware, or telecommunications
equipment or to damage or obtain unauthorized access to any
data or other information of any third party;
impersonates any person or entity, including any employee
or representative of LongRates.com.com or any person or entity
or falsely states or otherwise misrepresent your affiliation
with a person or entity;
harms minors in any way;
intentionally or unintentionally violates any applicable local,
state, federal or international law;
“stalks” or otherwise harasses another; or
collects or stores personal data about other users.
You also agree that you will not harvest or collect information
about the users or members of this LongRates.com Site or use
such information for the purpose of transmitting or facilitating
transmission of unsolicited bulk electronic e-mail or communications.
You further agree that you will not knowingly solicit or collect
personal information from a minor. You further agree that you
will not use any robot, spider, other automatic process, or

Site or the content contained thereon or for any other unauthorized
purpose without our prior expressed written permission. You

You acknowledge and agree that LongRates.com may preserve
Content and may also disclose Content if required to do so
by law or in the good faith belief that such preservation or
disclosure is reasonably necessary to:

times to edit, refuse to post, or to remove any Information,
in whole or part, that LongRates.com, Inc. in its sole discretion,

Inc. reserves the right to expel you from or suspend your access
to some or all of the Forums on the LongRates.com Site for

copyright laws, trademark laws, the laws of privacy and publicity,
and communications regulations and statutes.
The trademarks, logos, and service marks (collectively the "Trademarks")
displayed on the Site are registered and unregistered Trademarks
of LongRates.com, Inc. and others. Nothing contained on the
Site should be construed as granting, by implication, estoppel,
or otherwise, any license or right to use any Trademark displayed
on the Site without the written permission of LongRates.com,
Inc. or such third party that may own the Trademarks displayed
on the Site. Your misuse of the Trademarks displayed on the
Site, or any other content on the Site, except as provided
in these Terms and Conditions, is strictly prohibited. You
are also advised that LongRates.com, Inc. will aggressively
enforce its intellectual property rights to the fullest extent
of the law, including the seeking of criminal prosecution.

to the Site and is not responsible for the content of any non
LongRates.com Inc. off-site pages or sites linked to the Site.
LongRates.com, Inc. is not liable for any direct, incidental,
consequential, indirect, or punitive damages arising out of
your access to, or use of, the Site. Without limiting the foregoing,
everything on the Site is provided to you "AS IS" WITHOUT
WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING,

not be liable for, any damages to, or viruses that may infect,
your computer equipment or other property on account of your
access to, use of, or browsing in the Site or your downloading
of any materials, data, text, images, video, or audio from
the Site.
LongRates.com Inc. does not endorse the content on any third-party
websites. LongRates.com Inc. is not responsible for the content
of linked third-party sites, or third-party advertisements,
and does not make any representations regarding their content
or accuracy. Your use of third-party websites is at your own
risk and subject to the terms and conditions of use for such
sites.
7. International Use.
LongRates.com Inc.makes no representation that materials on
this LongRates.com Site are appropriate, legal or available
for use in locations outside the United States, or that it
is authorized for export from the United States or import
